MASTER TERMS & CONDITIONS

1. COMPANY & SCOPE OF AGREEMENT

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Participant,” “Registrant,” “You”) and Cool Hoops LLC (“Company,” “We,” “Us,” or “Our”).

These Terms apply to all programs, events, camps, showcases, tournaments, teams, services, and digital platforms operated by Cool Hoops LLC, including but not limited to the following affiliated brands and programs:

Cool Hoops
Basketball Finders
Rocktop
Rocktop AAU (Elite, Rise)
Study Placement
Any future programs, events, or affiliated entities operated by Cool Hoops LLC

Participation in any Company activity constitutes acceptance of these Terms.

2. ELIGIBILITY & AUTHORITY TO AGREE

By registering for or participating in any Company program, you represent and warrant that:

You are at least 18 years of age, OR
You are the legal parent or guardian of the participant and have full authority to agree on their behalf

You further agree that all information provided during registration is accurate and complete.

3. ASSUMPTION OF RISK

You acknowledge that participation in athletic activities involves inherent risks, including but not limited to:

Physical injury
Illness
Permanent disability
Death
Property loss or damage

You knowingly and voluntarily assume all risks, whether foreseeable or unforeseeable, associated with participation in Company programs.

4. RELEASE OF LIABILITY

To the fullest extent permitted by law, you hereby release, waive, and discharge Cool Hoops LLC, its owners, officers, directors, employees, contractors, volunteers, affiliates, event operators, and host venues from any and all claims, demands, damages, or causes of action arising out of or related to participation in Company activities, including but not limited to claims arising from negligence.

5. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cool Hoops LLC and all affiliated parties from any claims, liabilities, damages, costs, or expenses (including attorney’s fees) arising from:

Your participation
Your conduct
Any violation of these Terms
Any injury or damage caused by you or a registered participant

6. MEDICAL AUTHORIZATION

In the event of an emergency, you authorize the Company and its representatives to obtain medical treatment for the participant. You agree to be solely responsible for any medical costs incurred.

7. MEDIA RELEASE

You grant Cool Hoops LLC the irrevocable right to use any photographs, videos, audio recordings, or likeness captured during Company events for promotional, marketing, educational, or commercial purposes, without compensation.

8. NO GUARANTEE OF EXPOSURE OR OUTCOMES

You acknowledge and agree that:

The Company does not guarantee college recruitment, scholarships, roster placement, exposure, or athletic advancement
Any exposure opportunities are incidental and not guaranteed
Athletic outcomes depend on numerous factors outside the Company’s control

9. CODE OF CONDUCT & REMOVAL

The Company reserves the right to remove any participant, coach, team, or spectator for unsportsmanlike conduct, rule violations, or behavior deemed unsafe or disruptive, without refund.

10. REFUNDS & CANCELLATIONS

All registration fees are non-refundable unless expressly stated otherwise in a program-specific addendum. The Company reserves the right to modify schedules, formats, or locations due to circumstances beyond its control.

11. FORCE MAJEURE

The Company shall not be liable for cancellations or changes due to events beyond its reasonable control, including but not limited to weather, facility issues, acts of God, public health emergencies, or government restrictions.

12. THIRD-PARTY VENUES & SERVICES

The Company is not responsible for the actions, omissions, or conditions of third-party facilities, hotels, transportation providers, or vendors.

13. ARBITRATION & GOVERNING LAW

Any dispute arising from these Terms or participation in Company activities shall be resolved by binding arbitration. These Terms shall be governed by the laws of the state in which Cool Hoops LLC is registered.

14. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15. ACCEPTANCE OF TERMS

By registering, participating, or attending any Company program or event, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

Cool Hoops Events Addendum

Cool Hoops LLC

Effective Date: 2.5.26

1. INCORPORATION & GOVERNING TERMS

This Cool Hoops Events Addendum (“Addendum”) is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions (“Master T&C”). All capitalized terms not defined herein have the meanings set forth in the Master T&C.

In the event of any conflict, the Master T&C shall govern unless expressly stated otherwise.

2. EVENT LOGISTICS & FACILITY CHANGES

You acknowledge and agree that Cool Hoops events are subject to logistical variables outside the Company’s control.

The Company reserves the right to:

Change event locations, gyms, or facilities
Adjust game times, schedules, formats, or divisions
Modify event duration or structure
Combine or separate divisions as necessary

Such changes may occur before or during an event and do not entitle participants to refunds or credits.

3. SCHEDULE ADJUSTMENTS & DELAYS

Event schedules are estimates and may be impacted by:

Prior games
Facility constraints
Officiating availability
Weather or emergencies

The Company is not responsible for:

Delays
Reduced warm-up time
Modified game lengths caused by schedule adjustments

4. INJURIES, ACCIDENTS & MEDICAL INCIDENTS

Participation in Cool Hoops events involves physical contact and athletic risk.

You acknowledge that:

Injuries may occur during warm-ups, games, or ancillary activities
The Company does not provide medical insurance
On-site medical personnel are not guaranteed

Any injury, illness, or accident does not entitle a participant to a refund, credit, or reschedule.

(Assumption of risk, release, and medical authorization are governed by the Master T&C.)

5. WEATHER, EMERGENCIES & FORCE MAJEURE

Events may be delayed, modified, relocated, or cancelled due to:

Weather
Facility issues
Power outages
Government restrictions
Public safety concerns
Acts of God

In such cases, the Company may:

Modify the event format
Reschedule at its discretion
Issue credits or partial refunds only if expressly stated

No refund is guaranteed.

6. REFUNDS, NO-SHOWS & WITHDRAWALS

Unless expressly stated in writing:

All Cool Hoops event registrations are final and non-refundable
No refunds for:
- No-shows
- Late arrivals
- Injuries
- Schedule conflicts
- Removal for misconduct

The Company reserves the right to deny refunds or credits in all circumstances.

7. REMOVAL FOR SAFETY OR CONDUCT

The Company may remove any participant, coach, team, or spectator for:

Unsafe play
Unsportsmanlike conduct
Disruptive behavior
Failure to follow staff or officials’ directions

Removal does not entitle the participant to a refund.

8. OFFICIATING & GAME ADMINISTRATION

Officials and event staff have full authority.
Judgment calls are final.
Protests or replay demands are not permitted.

9. LIMITED EVENT CAPACITY & CANCELLATION RIGHTS

The Company reserves the right to:

Cancel or consolidate divisions due to low enrollment
Limit participation for safety or quality reasons

If the Company cancels an event in its entirety, its sole obligation shall be to:

Issue a refund or credit at its discretion

10. ACKNOWLEDGEMENT & ACCEPTANCE

By registering for or participating in a Cool Hoops event, you acknowledge and agree that:

You have read and accepted the Master T&C
You understand and accept this Addendum
You accept all schedule, facility, and format risks

Basketball Finders Addendum

Cool Hoops LLC

1. INCORPORATION & GOVERNING TERMS

This Basketball Finders Addendum (“Addendum”) is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions (“Master T&C”).

By registering for or participating in any Basketball Finders–branded event, camp, showcase, or service, you agree to be bound by:

The Master T&C in full, and
This Basketball Finders Addendum

In the event of a conflict, the Master T&C shall control, unless expressly stated otherwise.

2. PROGRAM PURPOSE & SCOPE

Basketball Finders provides exposure-related services, including but not limited to:

Events, camps, and showcases
Player information collection and distribution
Digital profiles, rosters, or databases
Educational and informational recruiting support

Basketball Finders is not a recruiting service, placement service, or athletic agency and does not act on behalf of participants in negotiations or commitments.

3. CONSENT TO INFORMATION SHARING

By registering for a Basketball Finders program, you expressly authorize Cool Hoops LLC and Basketball Finders to:

Collect participant information, including names, contact details, academic data, athletic information, video, and evaluations
Share such information with college coaches, recruiting services, event operators, partners, media outlets, and other third parties for exposure, evaluation, or promotional purposes
Publish participant information in digital or printed formats, including but not limited to online databases, event materials, or scouting packets

You acknowledge that once shared, the Company cannot control how third parties use or retain such information.

4. NO GUARANTEE OF EXPOSURE, RECRUITMENT, OR COACH ATTENDANCE

You expressly acknowledge and agree that:

Basketball Finders does not guarantee college exposure, recruitment, scholarships, offers, or roster placement
No guarantee is made that college coaches will attend any event, view any participant, or review any shared information
Exposure opportunities are incidental and variable, and outcomes depend on factors beyond the Company’s control

Participation does not imply endorsement, evaluation, or recruitment by any college or organization.

5. EVENT LOGISTICS, SCHEDULES & FACILITY CHANGES

Basketball Finders events and services are subject to change.

The Company reserves the right to:

Change gyms, facilities, or locations
Modify event schedules, formats, groupings, or timing
Adjust or cancel portions of an event due to enrollment, logistics, weather, or safety concerns

Such changes do not entitle participants to refunds or credits.

6. INJURIES, ACCIDENTS & MEDICAL INCIDENTS

Participation involves inherent physical risk.

You acknowledge that:

Injuries may occur during gameplay, drills, warm-ups, or related activities
The Company does not provide medical insurance
On-site medical staff are not guaranteed

Injuries, illness, or medical incidents do not entitle participants to refunds, credits, or rescheduled participation.

(Assumption of risk, release of liability, and medical authorization are governed by the Master T&C.)

7. REFUNDS, NO-SHOWS & WITHDRAWALS

Unless expressly stated otherwise in writing:

All Basketball Finders registrations are final and non-refundable
No refunds for:
- No-shows
- Injuries
- Schedule conflicts
- Late arrivals
- Removal for conduct

The Company reserves sole discretion regarding any refunds or credits.

8. CONDUCT, REMOVAL & EVENT AUTHORITY

The Company may remove any participant, coach, parent, or spectator for:

Unsportsmanlike or disruptive behavior
Failure to follow event rules or staff instructions
Conduct deemed unsafe or detrimental to the event

Removal does not entitle the participant to a refund.

9. AFFILIATION DISCLOSURE – ROCKTOP ACADEMY

You acknowledge and agree that:

Basketball Finders is affiliated with and operated alongside Rocktop Academy and Rocktop Elite, which are also programs of Cool Hoops LLC
Participation in Basketball Finders does not guarantee placement, enrollment, roster spots, or advancement within Rocktop Academy or any affiliated program
Any participation in Rocktop Academy–related programs is governed by separate program-specific addendums and requirements

The Company disclaims any implied promise of progression between programs.

10. MEDIA & PROMOTIONAL USE

Basketball Finders events may be photographed or recorded for promotional, scouting, or informational purposes in accordance with the media release provisions of the Master T&C.

11. ACKNOWLEDGEMENT & ACCEPTANCE

By registering for or participating in a Basketball Finders program, you acknowledge that:

You have read and understood this Addendum
You agree to the Master T&C and all applicable program addendums
You accept all risks, limitations, and disclosures described herein

Rocktop Academy Addendum

Cool Hoops LLC

Effective Date: 2.5.26

1. INCORPORATION & GOVERNING TERMS

This Rocktop Academy Athletics Addendum (“Addendum”) is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions (“Master T&C”).

By enrolling in or participating in any Rocktop Academy athletic program, you agree to be bound by:

The Master T&C in full, and
This Addendum

If any provision of this Addendum conflicts with the Master T&C, the Master T&C shall control.

2. PROGRAM STRUCTURE & ATHLETIC DEPARTMENT DISCLOSURE

Rocktop Academy is a separate nonprofit educational organization recognized as a 501(c)(3) (“Rocktop Academy”).

Cool Hoops LLC operates as the athletic department and athletic services provider for Rocktop Academy, responsible for:

Basketball operations and competition
Coaching, training, and player development
Team scheduling, travel, and exposure activities
Housing, hotel, and logistical coordination when applicable

Cool Hoops LLC does not operate or control academic instruction, admissions, grading, tuition, or educational compliance. All academic matters are handled independently by Rocktop Academy or third-party educational partners.

3. SCHOLARSHIPS, PLAYING TIME & RECRUITING DISCLOSURE

Rocktop Academy does not guarantee:

Scholarships or financial aid
College recruitment or offers
Exposure outcomes
Playing time in any game or event

Playing time decisions are made solely at the discretion of the coaching staff. Player performance, development, and recruiting outcomes remain the responsibility of the athlete.

4. CONDUCT, DISCIPLINE & DISMISSAL

Athletes are expected to conduct themselves respectfully toward coaches, staff, mentors, teammates, housing supervisors, event staff, and the public.

Cool Hoops LLC reserves the right to impose disciplinary action, including suspension or dismissal, for conduct deemed disruptive, unsafe, or harmful.

Dismissal for conduct reasons:

Results in no refund
Does not relieve responsibility for outstanding balances

5. TUITION, FEES & PAYMENT TERMS

A deposit is required to secure participation and becomes non-refundable after five (5) business days
Tuition payments begin August 1 unless otherwise agreed in writing
Monthly payments are due on the 1st of each month
A 10% late fee applies after a 5-day grace period
Payments more than 30 days overdue may result in removal from the program

All balances remain due regardless of participation status.

6. REFUND POLICY

Unless expressly stated otherwise in writing:

All tuition and athletic fees are non-refundable
No refunds for:
- Voluntary withdrawal
- Dismissal (conduct or academic reasons)
- Injuries
- Schedule, staff, housing, or facility changes

AAU participation, training sessions, and committed weekly programs are billed and staffed in advance and are non-refundable regardless of attendance.

7. ACADEMIC DISCLAIMER

Rocktop Academy athletic programs are not academic programs.

Athletes and families acknowledge:

Academic services are provided independently through Rocktop Academy or third-party institutions
Cool Hoops LLC does not manage academic eligibility, FAFSA, Pell Grants, NCAA compliance, or school enrollment
Basketball schedules are not adjusted around academic conflicts
Transportation to or from academic institutions is not provided

Families agree not to misrepresent or pursue claims against Rocktop Academy or Cool Hoops LLC regarding academic matters.

8. HOUSING POLICY

Housing is a shared living environment and must be treated respectfully.

A $500 Move-In Fee applies
House rules include:
- No loud noise after 9:00 PM
- Clean shared spaces
- No fighting or physical altercations
- Respect for roommates and property

Any damage caused by an athlete is the athlete’s financial responsibility.

Housing locations and assignments are subject to change.

9. FOOD POLICY

Rocktop Academy provides limited, supplementary food items only to support athletes during their stay. These food provisions are not intended to replace full meals, individualized nutrition plans, or meet specific dietary, medical, religious, or caloric requirements.

Provided “house food” may include basic non-perishable pantry items such as:

Pasta and sauce
Bread and eggs
Cereal
Pancake or waffle mix
Basic vegetables, seasonings, and cooking essentials

Meats, snacks, beverages, specialty foods, supplements, and perishable items are not included.

Athletes and families acknowledge and agree that:

Athletes are primarily responsible for providing their own meals
Rocktop Academy does not guarantee nutritional adequacy
Rocktop Academy is not responsible for dietary preferences, allergies, intolerances, or medical nutrition needs

Deep frying or use of large quantities of oil is prohibited. Rocktop Academy does not provide food during travel, tournaments, or events unless explicitly stated in writing.

10. HOTEL & TRAVEL CONDUCT

Athletes are expected to represent Rocktop Academy professionally during travel.

Misconduct at hotels—including noise complaints, property damage, drug or alcohol use—may result in disciplinary action, removal, or dismissal without refund.

11. INJURY, MEDICAL RESPONSIBILITY & PHYSICAL DEMANDS

Athletic participation involves inherent physical and mental risk.

Athletes and families acknowledge:

Injuries, illness, or medical emergencies may occur
Health insurance is required
All medical expenses are the family’s responsibility
Transportation to medical facilities is not guaranteed

Participation includes rigorous training, coaching, and competition that may be physically and mentally demanding.

(Assumption of risk, medical authorization, and release of liability are governed by the Master T&C.)

12. MEDIA RELEASE

Athletes grant permission for photographs, video, and game film to be used for promotional, marketing, and exposure purposes without compensation, in accordance with the Master T&C.

Marketing materials are illustrative only and subject to change.

13. PRIVACY

Personal information is used for program administration and communication. Information is not sold and is shared only as necessary to operate the program. Full Privacy Policy available at [insert link].

14. EMERGENCY CONTACT INFORMATION

Athletes must provide and maintain accurate emergency contact and medical information. Failure to do so may result in suspension from participation.

15. TRAVEL INSURANCE

Travel insurance is strongly recommended. Rocktop Academy and Cool Hoops LLC do not provide coverage for travel-related losses or cancellations.

16. FORCE MAJEURE

Programs may be delayed, modified, relocated, or cancelled due to circumstances beyond control, including weather, facility closures, public health events, or government restrictions. No refunds are guaranteed.

17. PERSONAL BELONGINGS

Neither Rocktop Academy nor Cool Hoops LLC is responsible for loss, theft, or damage to personal property.

18. DISPUTE RESOLUTION

All disputes are governed by the arbitration and governing law provisions of the Master T&C, including waiver of jury trial and class actions.

19. ACKNOWLEDGEMENT & ACCEPTANCE

By enrolling, you confirm that you:

Understand Cool Hoops LLC operates the athletic department for Rocktop Academy
Understand Rocktop Academy is a separate 501(c)(3) educational entity
Agree to this Addendum and the Master T&C
Accept all athletic, housing, travel, scheduling, and physical risks

Rocktop AAU Addendum

(Applies to Rocktop Elite, Rocktop Rise, and all programs operating under the Rocktop brand)

Cool Hoops LLC

This Rocktop AAU Addendum (“Addendum”) is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions (“Master T&C”).

By participating in any Rocktop AAU program, including Rocktop Elite, Rocktop Rise, or any other team under the Rocktop brand, you agree to:

The Master T&C in full, and
This Addendum

In the event of a conflict, the Master T&C shall govern, unless explicitly stated otherwise.

2. PROGRAM STRUCTURE & BRAND DISCLOSURE

Rocktop Academy, a 501(c)(3) nonprofit educational organization, is the official host of all Rocktop AAU programs.
Cool Hoops LLC operates as the athletic services provider and athletic department, responsible for:
- Coaching and player development
- Team operations, scheduling, and competition management
- Event logistics, travel, and exposure activities

Important: Rocktop AAU programs are athletic-only programs. Rocktop Academy does not provide housing, food, academic instruction, scholarships, or guarantees of college recruitment.

3. SCHOLARSHIPS, PLAYING TIME & RECRUITING

Rocktop AAU does not guarantee scholarships, financial aid, playing time, roster placement, or college recruitment opportunities.
Playing time and roster decisions are made at the sole discretion of the coaching staff.
Athlete performance, development, and recruitment outcomes are the sole responsibility of the athlete.

4. CONDUCT, DISCIPLINE & REMOVAL

Athletes, parents, coaches, and spectators must conduct themselves respectfully.
Cool Hoops LLC reserves the right to suspend or remove participants for:
- Unsafe or unsportsmanlike behavior
- Failure to follow program rules
- Misconduct during events, travel, or any program activity
Removal or suspension may occur without refund.

5. FEES, PAYMENT TERMS & REFUNDS

Deposits and program fees are non-refundable after the stated deposit period.
No refunds or credits will be issued for:
- Voluntary withdrawal
- Dismissal for conduct
- Injuries or illness
- Missed practices, games, or events
- Changes to schedule, staff, or competition locations

Program fees are final and billed in advance, consistent with staffing, facility, and event commitments.

6. INJURY, MEDICAL RESPONSIBILITY & PHYSICAL DEMANDS

Participation involves inherent physical and mental risks.
Health insurance is required.
All medical expenses are the responsibility of the athlete/family.
Transportation to medical facilities is not guaranteed.
Training, practices, and competitions may be rigorous and physically demanding.

(Assumption of risk, medical authorization, and release of liability are governed by the Master T&C.)

7. EVENT LOGISTICS, SCHEDULES & FACILITIES

Game times, practice schedules, event locations, and competition assignments may change at any time.
Changes may occur due to staffing, enrollment, facility availability, or safety considerations.
No schedule or location change entitles a participant to a refund or credit.

8. TRAVEL

Athletes may travel for competitions at the direction of Cool Hoops LLC.
Travel arrangements are coordinated by Cool Hoops LLC, but transportation and supervision are limited to program guidelines.
Rocktop AAU does not provide lodging, meals, or personal supervision outside of program events.
Families are encouraged to provide appropriate travel insurance.

9. MEDIA RELEASE

Athletes grant permission for photographs, videos, and game film to be used for promotional, marketing, and exposure purposes, without compensation, in accordance with the Master T&C.

Rocktop AAU is not responsible for loss, theft, or damage to personal property.

All disputes are governed by the arbitration provisions of the Master T&C, including waiver of jury trial and class action rights.

13. ACKNOWLEDGEMENT & ACCEPTANCE

By registering for or participating in any Rocktop AAU program, you acknowledge that:

You have read and agree to the Master T&C and this Addendum
You understand that Rocktop Academy is the program host and Cool Hoops LLC provides all athletic services
You accept all risks, including travel, scheduling, and physical demands
You understand no scholarships, housing, food, or college exposure is guaranteed

Study Placement Addendum

Cool Hoops LLC

Effective Date: 2.5.26

1. INCORPORATION & GOVERNING TERMS

This Study Placement Addendum (“Addendum”) is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions (“Master T&C”).

By participating in Study Placement services, you agree to:

The Master T&C in full, and
This Addendum

In the event of a conflict, the Master T&C shall govern, unless explicitly stated otherwise.

2. SERVICE STRUCTURE & DISCLOSURE

Study Placement is operated by Cool Hoops LLC as a service provider and athletic/consulting department for Rocktop Academy (501(c)(3)).
Services include consulting, advising, and placement support for students seeking admission to domestic and international boarding and private schools.
Rocktop Academy is the host entity, while Cool Hoops LLC provides the operational and consulting services.

Important: Study Placement services are academic/consulting only. Rocktop Academy does not provide scholarships, admissions guarantees, housing, or educational instruction as part of these services.

3. NO GUARANTEE OF ADMISSION OR OUTCOMES

Participation in Study Placement services does not guarantee:
- Admission to any school
- Scholarships, financial aid, or grants
- Academic success, graduation, or placement in higher education
Decisions regarding admissions, acceptance, and aid are solely determined by the schools.

4. CONDUCT & RESPONSIBILITIES

Students and families must provide accurate, complete, and timely information.
Misrepresentation, falsification, or failure to comply with instructions may result in termination of services without refund.
Students/families remain responsible for all deadlines, submissions, and school requirements.

5. FEES, PAYMENT TERMS & REFUNDS

All deposits and fees are non-refundable after the stated deposit period.
No refunds are provided for:
- Missed services or deadlines
- Changes in school admission policies or decisions
- Withdrawal from services
Payment plans and deadlines are specified in the invoice or enrollment agreement and must be adhered to.

6. PRIVACY & DATA SHARING

Study Placement may share student information with:
- Schools and admissions officers
- Third-party consultants or service providers necessary to complete placement services
Information will not be sold or shared outside the scope of service without consent.

7. MEDIA & PROMOTIONAL USE

Students may be included in anonymized testimonials, marketing materials, or case studies.
No personally identifiable or confidential information will be disclosed without written consent.
Participation is voluntary, and families may opt out in writing.

8. LIABILITY & DISCLAIMER

Study Placement services are consultative only.
Neither Rocktop Academy nor Cool Hoops LLC guarantees admission, scholarships, financial aid, or academic success.
Families are responsible for:
- Academic compliance
- Travel, housing, and wellness decisions while attending schools
- All costs and expenses associated with applications or school attendance

9. FORCE MAJEURE

Study Placement is not liable for delays, interruptions, or cancellations caused by circumstances beyond its control, including:
- Natural disasters, pandemics, travel restrictions, or school closures
No refund is guaranteed in these situations.

10. DISPUTE RESOLUTION

All disputes are governed by the arbitration provisions of the Master T&C, including waiver of jury trial and class action rights.

Facility & Third-Party Locations Clause

Use of Third-Party Facilities
Certain programs, events, and activities operated by Cool Hoops LLC may take place at third-party facilities (including gyms, recreation centers, or other rental spaces). By participating, registering, or attending any Cool Hoops LLC event at a third-party facility, participants, parents, and guests acknowledge and agree that:

Assumption of Risk
- Participation in activities at third-party facilities is at the participant’s own risk.
- Cool Hoops LLC is not responsible for the condition, safety, or maintenance of any facility not owned or operated by Cool Hoops LLC.
Facility Rules Compliance
- Participants, parents, and guests must follow all posted or instructed rules of the third-party facility.
- Failure to comply may result in immediate removal from the facility or event without refund.
Liability & Indemnification
- Cool Hoops LLC, its staff, contractors, and affiliates are not liable for injuries, accidents, or property damage occurring at third-party facilities.
- Participants, parents, and guests agree to indemnify and hold harmless Cool Hoops LLC from any claims arising from incidents occurring at third-party locations.
Schedule & Facility Changes
- Event times, locations, and assigned facilities may change without notice due to facility availability, maintenance, safety concerns, or other operational needs.
- No change entitles participants to a refund, credit, or rescheduling.

Retail Operations Clause

Operation of Retail Services
Cool Hoops LLC may operate retail services, including coffee shops, snack bars, or other sales activities at its locations or at third-party facilities. By purchasing products or services, entering retail spaces, or participating in on-site retail programs, customers, participants, and guests acknowledge and agree that:

Assumption of Risk
- All purchases and participation in retail services are at the customer’s own risk.
- Cool Hoops LLC is not responsible for injury, illness, allergic reactions, or other adverse effects resulting from consumption of food, beverages, or products sold on-site.
Compliance with Rules & Laws
- Customers, participants, and guests must follow all posted rules and any applicable facility, health, and safety regulations.
- Cool Hoops LLC reserves the right to refuse service or remove individuals for unsafe or disruptive behavior.
Liability & Indemnification
- Cool Hoops LLC, its staff, contractors, and affiliates are not liable for injuries, accidents, or property damage occurring in retail areas.
- Customers and participants agree to indemnify and hold harmless Cool Hoops LLC from any claims arising from retail operations, including consumption of products or use of equipment.
Product & Service Disclaimer
- Cool Hoops LLC makes reasonable efforts to ensure products and services are safe and accurate but does not guarantee quality, suitability, or outcomes.
- Customers are responsible for personal health, dietary restrictions, and appropriate use of products or equipment.
Changes & Availability
- Product availability, pricing, and services may change without notice.
- No change entitles a customer to a refund, credit, or other compensation beyond the price paid.

Merchandise & Product Sales Clause

Products & Orders

Cool Hoops LLC may sell merchandise, including apparel, clothing, and other branded products (“Merchandise”) through online stores, events, or on-site sales.
All merchandise purchases are final once processed unless a defect is verified and approved for return or exchange.

Product Accuracy & Availability

Product images, descriptions, sizes, and colors are provided for reference; actual products may vary slightly.
Cool Hoops LLC is not responsible for out-of-stock items, shipping delays, or errors caused by third-party suppliers.

Shipping & Delivery

Shipping times are estimated and may vary due to carrier delays, holidays, or other factors.
Customers are responsible for providing accurate shipping information.
Cool Hoops LLC is not liable for lost, stolen, or misdelivered packages.

Returns & Exchanges

Returns and exchanges are only accepted for defective or incorrect items, at Cool Hoops LLC’s discretion.
Merchandise must be returned in original condition within a specified timeframe to qualify for a replacement.
No refunds or credits will be issued for sizing issues, buyer’s remorse, or shipping delays.

Day Camp & After-School Program Addendum

1. Incorporation & Governing Terms

This Addendum is incorporated into and governed by the Cool Hoops LLC Master Terms & Conditions. By enrolling in day camp or after-school programs, participants and parents/guardians agree to:

In case of conflict, the Master T&C shall govern, except as specifically modified by this Addendum.

2. Program Participation

Enrollment constitutes acceptance of all program rules, policies, and safety procedures.
Programs are designed for skill development, recreation, and supervised activities.

3. Hours, Pickup & Dropoff

Parents/guardians are responsible for on-time dropoff and pickup.
Cool Hoops LLC is not responsible for children before or after scheduled program hours.
Late pickups may incur late fees or removal from the program without refund.

4. Behavior & Conduct

Participants must follow staff instructions and act respectfully toward peers, staff, and property.
Disruptive or unsafe behavior may result in disciplinary action, suspension, or removal without refund.

5. Medical & Health

Parents/guardians must provide accurate medical information, including allergies, medications, or pre-existing conditions.
Participants must be medically cleared for physical activity.
Cool Hoops LLC is not responsible for injuries, illnesses, or medical emergencies. Families are responsible for medical expenses and transportation to care if needed.
Staff may provide basic first aid, but serious injuries require parent/guardian or emergency medical attention.

6. Program Changes & Cancellation

Cool Hoops LLC may change schedules, locations, or activities due to weather, staffing, or safety concerns.
Changes do not entitle participants to refunds, credits, or rescheduling.
Refunds are only provided per the general refund policy in the Master T&C.

7. Media & Marketing

Participants may be photographed or recorded for marketing and promotional purposes.
Parents/guardians may opt out by providing written notice before the program starts.

8. Liability & Indemnification

Participation involves inherent risk. Parents/guardians agree to hold harmless and indemnify Cool Hoops LLC, its staff, affiliates, and facility partners from any claims, injuries, or damages arising from program participation.

9. Optional Additions

Food/Snacks: If provided, participants are responsible for dietary restrictions. Cool Hoops LLC is not responsible for allergic reactions.
Transportation: If shuttles/buses are used, parents must provide consent; participants are responsible for following all safety rules.
Emergency Contacts: Up-to-date parent/guardian contacts must be provided before program start.
